These Terms and Conditions ("Terms") govern your access to and use of the website(s), mobile application(s), newsletter(s), tool(s), dashboard(s), API(s), and any other product(s) or service(s) (collectively referred to as the "Platform") operated by M/s. ChainShots Technologies Private Limited, a company incorporated under the Companies Act, 2013 (hereinafter referred to as the "Company", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with the Terms and Conditions as stipulated hereinbelow, you must immediately discontinue use of the Platform.

I. Eligibility

You represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding contract under prevailing Indian law;
  • You are not barred from accessing the Platform under any applicable law.
  • If you are accessing the Platform on behalf of any legal entity or person, you confirm that you are duly authorized to bind such entity or person.

II. Nature of Services

A. The Platform provides:

  • Financial education content;
  • Market insights, commentary, and analysis;
  • Crypto-asset related information, tools, and research.

B. No Investment Advice

Nothing on the Platform constitutes:

  • Investment advice,
  • Financial advice,
  • Trading advice,
  • Legal, tax, or accounting advice.

C. All content is purely informational and educational in nature.

D. You acknowledge that:

  • Crypto assets and financial markets are high-risk, volatile, and speculative;
  • You alone are responsible for your investment decisions;
  • Past performance is not indicative of future results.

III. Regulatory Disclaimer

The Company is not registered as an Investment Adviser or Research Analyst with SEBI unless explicitly stated otherwise.

Any references to crypto assets do not imply legality, endorsement, or regulatory approval. Regulatory treatment of crypto assets in India is evolving and uncertain. You agree to independently verify the legality and tax implications of any transaction.

IV. User Accounts

A. You may be required to create an account to access certain features. You agree to:

  • Provide accurate and complete information;
  • Maintain confidentiality of your login credentials;
  • Notify us immediately of unauthorized access.

B. We reserve the right to suspend or terminate accounts that violate these Terms and/or the Privacy Policy.

V. Use License & Restrictions

A. Permission is granted to access and use the Platform for personal, non-commercial purposes only. You shall not:

  • Copy, modify, distribute, or exploit content commercially;
  • Reverse engineer, scrape, or decompile any part of the Platform;
  • Use bots, crawlers, or automated tools;
  • Upload malware, harmful code, or misleading information;
  • Impersonate any person or entity.

B. Any violations hereto may result in immediate termination and legal action.

VI. Intellectual Property

All content, including text, graphics, logos, software, and trademarks, is owned by or licensed to the Company and protected under applicable Intellectual Property ("IP") laws. No rights are granted except as expressly stated herein.

VII. Third-Party & Creator Content

A. Third-Party and Creator Content

The Platform primarily hosts, curates, republishes, edits, and/or distributes content that is created and uploaded by independent third-party creators, contributors, or licensors ("Creator Content").

Such Creator Content may include articles, insights, opinions, data, research, commentary, or informational material.

B. Curation and Editorial Changes

The Company may:

  • Curate, summarise, format, edit, or re-publish Creator Content;
  • Attribute such content to the original creator where applicable.

Such editorial actions are undertaken for clarity, accessibility, or presentation purposes only and do not amount to verification, certification, or acceptance of the accuracy or completeness of the Creator Content.

C. Endorsement Disclaimer

Unless expressly stated otherwise in writing:

  • Publication of Creator Content does not constitute endorsement of the views, opinions, accuracy, or recommendations expressed therein;
  • Any views expressed belong solely to the respective creators and do not reflect the views of the Company.
  • Any indication of "featured", "highlighted", or "endorsed" content is for editorial or informational purposes only and shall not be construed as investment advice, assurance, or guarantee.

D. External Links

The Platform may contain links to third-party websites, tools, platforms, or services.

  • The Company does not control such third-party resources;
  • Accessing such resources is at your own risk;
  • The Company shall not be responsible for any loss, damage, or dispute arising from third-party interactions.

VIII. Disclaimers

A. General Disclaimer

The Platform, including all Creator Content and Company-generated content, is provided on an "AS IS" and "AS AVAILABLE" basis.

The Company expressly disclaims all warranties, whether express or implied, including but not limited to:

  • Accuracy;
  • Completeness;
  • Reliability;
  • Timeliness;
  • Fitness for a particular purpose;
  • Non-infringement.

B. No Guarantee of Outcomes

The Company does not warrant or guarantee:

  • The correctness of any content;
  • The performance or outcome of any financial or crypto-related activity;
  • That reliance on the Platform will result in any specific outcome.

C. Platform Availability

The Company does not guarantee uninterrupted, secure, or error-free operation of the Platform and shall not be liable for downtime, data loss, or service interruptions.

IX. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for any indirect, incidental, consequential, or punitive damages; including loss of profits, data, goodwill, or investment losses.

Our total liability, if any, shall not exceed the amount paid by you (if any) for accessing the Platform in the preceding 12 months.

X. Indemnity

You agree to indemnify and hold harmless the Company, its directors, officers, employees, and affiliates from any claims, losses (direct or indirect), liabilities, or expenses arising from:

  • Your use of the Platform;
  • Violation of these Terms;
  • Violation of any law or third-party rights.

XI. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason including breach of these Terms.

Upon termination:

  • Your right to use the Platform ceases immediately;
  • Clauses relating to IP, disclaimers, limitation of liability, and governing law shall survive.

XII. Modifications

We may revise these Terms at any time. Updated Terms will be posted on the Platform. Continued use after changes constitutes acceptance.

XIII. Governing Law & Jurisdiction

A. These Terms shall be governed by, construed, and interpreted in accordance with the laws of India.

B. All and any interpretation of the clauses, terms, and provisions of these Terms shall be guided by and aligned with the purposive tool of interpretation.

C. Each clause shall be construed in a manner that furthers the intent, purpose, and objectives of these Terms, avoiding any interpretation that leads to ambiguity, inconsistency, or a result contrary to the spirit of these Terms.

D. Any dispute, difference or controversy arising out of interpretation of these Terms shall be raised within thirty (30) days from the date of cause of action, and shall solely be adjudicated and decided by the Director of the Company.

E. Any dispute, difference or controversy of whatever nature howsoever arising under or out of or in relation to these Terms (including its interpretation) or use of the Platform between the Parties, and so notified in writing by either Party to the other Party ("dispute") shall, in the first instance, be attempted to be resolved amicably in accordance with the mediation procedure as prescribed under the Mediation Act, 2023.

F. The Parties agree to employ their best efforts for resolving all disputes arising under or in respect of these Terms promptly, equitably and in good faith.

G. Any dispute which is not resolved amicably by mediation, as provided hereinabove, shall be finally decided by reference to arbitration by an arbitral tribunal constituted in accordance with the Terms set out hereinbelow. Such arbitration shall be subject to the provisions of the Arbitration and Conciliation Act, 1996. The place of such arbitration shall be at New Delhi and the language of arbitration proceedings shall be English.

H. The arbitral tribunal shall consist of a sole arbitrator, to be mutually agreed upon by the Parties. In the event the Parties fail to reach an agreement on the appointment of the arbitrator, the appointment shall be made in accordance with the provisions of section 11 of the Arbitration and Conciliation Act, 1996, and any amendments thereto.

I. Courts at New Delhi shall have exclusive jurisdiction.

XIV. Severability

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
